Biography

I was born on February 11. 1958 in Sondrio, the town in which I also passed my final exam at the Classical Liceo. In 1981 I receved my Law Degree at Pavia University.
From 1983 to 1986 I attended my Ph.D. courses in Commercial Law at the Bocconi University, Milan. I received the degree with a dissertation thesis concerning individual rights of corporations’ shareholders.
In 1987, I won the competitive exam to become researcher in Private Law at Cattolica University and in 1995 I transferred to Pavia University as a Commercial Law researcher.
From October 1998 to September 2001, I was Associate Professor at the School of Economics at the University of Insubria.
Currently I am Full Professor at the University of Insubria.

Research interests

My prevailing research interests concern the regulations of companies, in particular corporations.
At first I focused my attention on the problem of individual rights of shareholders, an issue to which I dedicated the three years of my PhD as well as my first paper. Then I switched my attention to issues concerning both corporations and, even if less extensively, partnerships, and publishing several essays concerning the different sectors of Commercial Law.
I also devoted myself to issues regarding bank branches and, marginally, bankruptcy law. At the beginning of the millennium I dealt with problems connected to the generational succession in small and medium-size companies, and then concentrated on 2003 law reform concerning corporations, with particular attention to a company’s financial structure.
Currently, I am interested in issues related to the application to partnerships of groups’ law discipline.

Teaching experience and appointments

As private law researcher I used to hold classes that were supplementary to the main courses, and a Private Law course at the departments of Cattolica University located in Piacenza.
Since 1994 I have taught commercial law at University of Insubria, first as temporary Professor and currently as a Full Professor.
